Purchasing Terms and Conditions To the extent any of the terms below conflict with an existing contract between Optical Media Corporation and Supplier, the terms of the existing contract will govern.
Please feel free to print and retain these Terms and Conditions as they may change without notice from time to time.
1. Tracking info must be supplied to shipping @opticalmediacorp.com by the end of the same day that the order has been processed.
2. Supplier must notify Optical Media Corporation immediately if it is unable to ship the complete order by the date specified.
3. The Purchase Order number and part number, if applicable, must appear on all packages, packing slips, invoices and communications.
4. Acceptance of this Purchase Order, in writing, by e-mail or by performance, constitutes acceptance of all the specifications, and the terms and conditions of any existing contract between Optical Media Corporation and Supplier, or if no existing contract then Optical Media Corporations' standard Agreement.
5. This Purchase Order expressly limits acceptance to the terms of this Purchase Order and any terms referenced herein. Additional terms, charges or proposals included by Supplier in accepting or acknowledging this Purchase Order shall not be binding unless accepted in writing by the Optical Media Corporation. Neither failure to object to such additional terms nor acceptance of the products by Optical Media Corporation constitutes acceptance by Optical Media Corporation to any such Supplier's terms.
6. Any changes to this Purchase Order must be authorized in writing by Optical Media Corporation.
7. Supplier shall within 72 hours from receipt of any product returns notify Optical Media Corporation of any product discrepancies. If Supplier does not notify Optical Media Corporation within this time period, Optical Media Corporation will have the right to deduct the purchase price of the product from the amount owed to Supplier.
8. Optical Media Corporation reserves the right to cancel all or part of this Purchase Order without incurring any cancellation fees or charges.
9. Optical Media Corporation requires that its suppliers conduct themselves in accordance with these principles and applicable federal, state or local regulations in all dealings with Optical Media Corporation and its employees.
10. Supplier agrees that the time period for determining an early pay discount to be taken by Optical Media Corporation will begin upon the later of Optical Media Corporations' physical receipt of the invoice or physical receipt of the product.
11. Supplier must contact Optical Media Corporation at 1-248-435-2870 to schedule delivery if Supplier's carrier is other than Airborne/DHL, FedEx, or UPS. Our standard truck shipping/receiving hours are 9:00am EST to 5:00pm EST by appointment only.
12. All orders are to be shipped with adequate insurance for at least the purchase price of the product, unless otherwise agreed upon prior to by Optical Media Corporation.
13. As Optical Media Corporation is in the business of reselling products, Optical Media Corporation will provide Supplier with a resale certificate for the State of Michigan, a multijurisdictional Uniform Sales and Use Tax Certificate or the applicable state resale certificate, and subsequently will not be charged and will not pay sales tax.
14. Optical Media Corporation reserves the right to extend payment timetable to supplier in the event that any account due to Optical Media Corporation from that supplier is not current.
